CATNA 2.0 Terms of Service
Effective Date of this version: 16 October 2026
Original Effective Date: 01 February 2026
Last Updated: 16 October 2026
IMPORTANT NOTICE
These Terms of Service (the "Terms") form a legally binding agreement between you and Agbisit Acquisitions Ltd. Please read them carefully, in particular Sections 6, 7, 8, 15 and 16. We will provide the Program as these Terms describe, but apart from the Performance Guarantee in Section 8 we do not promise any particular business result. If you do not agree, do not purchase, access, or use the Program.
1. PARTIES AND COMPANY DETAILS
1.1 Service Provider. The service provider is Agbisit Acquisitions Ltd, trading as CATNA, a company registered in England and Wales (Company No. 16795399), registered office 4 Savile Drive, Halifax, West Yorkshire, HX1 2EU, United Kingdom ("Company", "we", "us", "our").
1.2 Client. "Client", "you", or "your" means the individual, business, or entity purchasing, accessing, or using the Program.
1.3 Contact. The only official contact emails for notices and support are:
(a) support@catna.cc
(b) legal@catna.cc
(c) billing@catna.cc, for billing matters only
We are not responsible for communications sent to any other address or platform.
2. DEFINITIONS
"Program" means CATNA 2.0, a 6-month coaching, consulting, training, and implementation-support program delivered digitally through platforms we choose, including Discord, Whop, Notion, and any other tools we may introduce.
"Materials" means all content, recordings, templates, frameworks, scripts, GPTs, tools, dashboards, SOPs, automations, documents, community areas, and any other resources provided as part of the Program.
"Access" means your ability to enter and use the Program platforms, Materials, community, channels, and calls.
"Start Date" means the later of the date Access is granted and the date you are onboarded into the Program community.
"Program term" means the six (6) months beginning on your Start Date.
"Order" means your purchase through Whop or any checkout method we designate.
"Policies" means our Refund & Returns Policy, our Privacy Policy (published at catna.cc/privacy), and EULA/License terms, each incorporated by reference into these Terms.
"Guarantee", "Guarantee Period", "Qualifying Client", "Program Fees", "Adherence Requirements", and "Program Week" have the meanings given to them in Section 8.
"day" means a calendar day, including weekends and public holidays, running from midnight to midnight UK time. Where these Terms set a period of days from, after or of an event, the period starts on the day after that event and ends at the end of its last day.
3. ACCEPTANCE AND ORDER OF PRECEDENCE
3.1 Acceptance. By purchasing, accessing, or using the Program, you agree to these Terms and all Policies.
3.2 Entire agreement. These Terms, the Policies and any individually signed enrolment agreement or addendum are the entire agreement between you and us regarding the Program.
3.3 Conflicts. If documents conflict, the order of precedence is:
(1) an individually signed enrolment agreement or addendum (if any), including any Guarantee Schedule to it,
(2) these Terms,
(3) the EULA/License terms,
(4) the Refund & Returns Policy,
(5) the Privacy Policy.
No enrolment agreement or addendum excludes or reduces Section 8 (Performance Guarantee) unless it refers to Section 8 expressly and states that it does so.
4. ELIGIBILITY AND USE
4.1 Business use. The Program is designed for business and professional use. You confirm you are enrolling mainly for the purposes of your trade, business or profession, whether existing or one you are setting up. If that is not true, tell us before you purchase. Clause 6.8 sets out the rights you have if you enrol as a consumer.
4.2 Age. You must be at least 18 years old to enrol. If you are under 18, you may not enrol or access the Program.
4.3 Authority. If enrolling on behalf of a company, you confirm you have authority to bind that company.
4.4 Compliance with law. You will comply with all applicable laws and platform terms.
5. PROGRAM DESCRIPTION AND DELIVERY
5.1 Scope. The Program includes, at our discretion and as delivered from time to time:
(a) coaching and implementation support via scheduled 1:1 calls,
(b) group calls (one or more per week as scheduled),
(c) text-based support via Program channels,
(d) training and strategy relating to content and personal branding for short-form and long-form platforms,
(e) systems and process guidance, including guidance and support for service fulfilment systems such as Discord structure, onboarding, and automations,
(f) access to tools including custom GPT workflows, templates, scripts, and SOPs,
(g) editor-team protocol training, SOPs, and optional introductions to editors (editors are a separate expense),
(h) any bonuses expressly stated in your Order.
5.2 No DFY promise unless stated. Unless explicitly stated in writing by us in your Order, the Program is "done-with-you" (DWY), not "done-for-you" (DFY). Any assistance we provide does not transfer responsibility for execution to us.
5.3 No guaranteed availability. Support, responses, scheduling, and access are not guaranteed to be immediate. We may set support hours, availability windows, and operational limits at our discretion. This Clause does not limit the Performance Guarantee in Section 8, and where we do not make a session available, the last paragraph of Clause 8.3 applies.
5.4 Changes to delivery and the core components. We may, at our discretion, update, restructure, replace or stop specific delivery formats, tools, curriculum, call times and community structure from time to time, to improve the Program or adapt to operational needs, as long as you keep access to the following core components for your full six (6) month Program term:
(a) the Program community;
(b) the Materials;
(c) text support through Program channels;
(d) at least one (1) group call each Program Week; and
(e) two (2) 1:1 sessions available for you to book each Program Week.
Such changes will not vary the Performance Guarantee to your detriment during your Guarantee Period. Clauses 5.1, 5.3, 9.2 and 12.2 and the EULA are subject to this Clause; we will withhold a core component only under Clauses 6.4(c), 10.3 or 19.1, and will give at least seven (7) days' notice of any change that significantly affects delivery.
5.5 Third-party platforms. The Program relies on third-party platforms. Platform outages, bans, policy changes, or failures are outside our control and do not create any refund right other than under Section 8.
6. PAYMENT TERMS
6.1 Pricing and permitted payment options.
(a) List Price and discounts. The price of the Program is $10,000 USD (the "List Price"). Depending on the payment option you choose at checkout or as stated in your Order, you receive a discount on the List Price:
(i) Pay-in-Full (PIF): $8,000 USD, a discount of $2,000 USD;
(ii) Two-Payment Plan: $9,000 USD, a discount of $1,000 USD;
(iii) Four-Payment Plan: $10,000 USD, no discount.
The discount on an instalment plan, and the right to pay in instalments, are conditional, as Clause 6.5 sets out.
(b) The only permitted payment options. Unless we expressly agree otherwise in writing (see Clause 6.1(d)), the only permitted payment options are:
(i) PIF: one (1) payment of $8,000 USD due immediately upon purchase;
(ii) Two-Payment Plan: two (2) payments of $4,500 USD each (total $9,000 USD);
(iii) Four-Payment Plan: four (4) payments of $2,500 USD each (total $10,000 USD).
(c) No other plans; no reliance on informal communications. No other instalment schedules or discounts are offered or implied. Pricing and payment terms may not be modified by DMs, Discord messages, calls, screenshots, or verbal statements. Any change is valid only if confirmed in a written addendum issued by us from an official email address (support@catna.cc or legal@catna.cc).
(d) Custom arrangements. Any exception (including different instalment amounts, dates, currency rails, or transfer limits) must be approved by us in writing and may require a signed enrolment addendum. If approved, that addendum controls only the payment schedule and does not change any other obligations.
(e) Due dates. Each instalment is due on the date stated in your Order or at checkout.
6.2 Client obligation to pay. You agree to pay all amounts due in full and on time, without any right of set-off, counterclaim, deduction, or withholding, regardless of your level of participation, perceived results, business outcomes, personal circumstances, technical issues, platform changes, or any other factor whatsoever, excepting only your express rights under Section 8 or Clauses 6.8 and 16.5. This does not apply to any amount we have confirmed in writing that we owe you, and does not stop you bringing a claim against us separately.
6.3 Start Date and access.
(a) Access may be granted only after the initial payment clears and onboarding is completed. We may delay or withhold Access until you provide required onboarding information, and such delay does not waive your payment obligations.
(b) Digital service delivery. The Client acknowledges that the Program is a digital service delivered electronically. Delivery occurs when Access to the Program platform, community, Materials, or any Program infrastructure is granted. Once Access is provided, the digital service is considered delivered and the Client has received the benefit of the purchase. This acknowledgement is subject to Section 8 and Clause 6.8.
(c) Record of Start Date. We will confirm your Start Date to you in writing at onboarding. Your Start Date determines your Guarantee Period.
6.4 Late payments.
(a) Grace period. You have a seven (7) calendar day grace period after any due date (unless the Order states otherwise).
(b) Interest and recovery costs. If you enrol in the course of a business, overdue amounts carry interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998. If you enrol as a consumer, we may charge interest on overdue amounts at four percent (4%) a year above the Bank of England base rate from the end of the grace period until paid. You must also pay reasonable recovery costs, to the extent permitted by law. "Recovery costs" means fees we actually pay to a third-party collection agent or legal adviser to recover the overdue amount.
(c) Suspension. We may suspend Access immediately after the grace period ends until all overdue amounts, interest, and recovery costs are paid in full. Suspended Access does not pause the Program term, the Guarantee Period, or reduce amounts owed.
6.5 Losing the instalment terms. If you pay by instalments, we accept your plan's total in full payment of the List Price only if each instalment is paid by the end of its grace period under Clause 6.4(a); paying by then is of the essence, because we price plans and hold your place for six (6) months on that basis. The discount on your plan and your right to pay in instalments are also conditional on your Access not being terminated under Clause 19.1. If you do not pay an instalment by the end of the grace period in Clause 6.4(a), or we terminate your Access under Clause 19.1 while instalments remain unpaid, you lose that discount and the right to pay in instalments, and the List Price, less what you have already paid towards your plan's instalments, becomes due immediately, unless we agree otherwise in writing. For a custom schedule, your discount is the List Price less that schedule's total, as stated in the addendum. This is in addition to, and does not limit, any other remedies we may have. This Clause is subject to Clause 16.5.
6.6 Taxes and fees. You are responsible for all applicable taxes, duties, currency conversion charges, wire fees, intermediary bank fees, and payment processing fees. We are not responsible for delays or failures caused by your bank, payment provider, or local transfer restrictions.
6.7 Billing errors and dispute resolution.
(a) Billing errors. If you believe there has been a billing error or duplicate charge, you must contact us promptly, and in any case within thirty (30) days of the charge, at billing@catna.cc. If we confirm a billing error in writing, we will correct it in accordance with our Refund & Returns Policy. If you tell us later, we will still correct any billing error our records confirm.
(b) Good-faith resolution first. You agree to contact us first to resolve billing concerns and not to pursue bad-faith payment reversals. Where you believe you are entitled to a refund on performance grounds, the process in Clause 8.7 is the route. A payment reversal you pursue in bad faith is a material breach of these Terms.
(c) Non-excludable rights. Nothing in this Clause limits any non-excludable statutory rights you may have under applicable law.
6.8 If you enrol as a consumer. This Clause applies only if you enrol as a consumer, meaning wholly or mainly for purposes outside your trade, business or profession. The Program is a service, and this Clause sets out your right to cancel it.
(a) Your right to cancel. You may cancel within fourteen (14) days after the day you purchase. To cancel, send us a clear statement of your decision, for example by email to legal@catna.cc. You may use the model cancellation form in the Annex to these Terms, but you do not have to.
(b) Starting within the fourteen (14) days. We will not start the Program for you within those fourteen (14) days unless you expressly ask us to, through the step we provide for this at checkout or onboarding. If you ask us to start and then cancel within the fourteen (14) days, you must pay for the services provided up to the time you told us you were cancelling, in proportion to the full Program and calculated on the price you agreed to pay. We will refund the rest within fourteen (14) days after the day you tell us.
(c) When the right ends. If you ask us to start within the fourteen (14) days, you also acknowledge that you lose your right to cancel once the Program has been fully provided.
(d) Nothing else in these Terms or the Policies limits this Clause.
7. NO REFUNDS
7.1 Policy. Subject to Section 8 and Clause 6.8, the Program is subject to a strict no-refund policy as set out in the Refund & Returns Policy.
7.2 Legal carve-out. Subject to Section 8 and Clause 6.8, refunds are only provided if required by applicable law or if we acknowledge a billing error in writing.
8. PERFORMANCE GUARANTEE
8.1 The Guarantee. If you satisfy every condition in this Section 8, and you have not acquired fifteen (15) Qualifying Clients during the Guarantee Period, we will refund the Program Fees you have paid to us. This Section 8 is the only performance-based exception to Section 7 and to the Refund & Returns Policy.
8.2 Definitions. In this Section:
(a) "Guarantee Period" means the six (6) month period beginning on your Start Date.
(b) "Qualifying Client" means a customer of your own business who:
(i) first purchased from you on or after your Start Date and before the end of the Guarantee Period;
(ii) has paid you at least two thousand United States dollars (USD $2,000) in cleared funds during the Guarantee Period (payments in other currencies convert at the rate your payment processor applied or, failing that, the Bank of England daily spot rate on the payment day);
(iii) was acquired through your organic content, as determined under Clause 8.5; and
(iv) is not a related party, meaning a family member, an entity you control, another participant in the Program, or a member of our team.
A customer who existed before your Start Date is not a Qualifying Client, and neither is a renewal, upsell, or repeat purchase from such a customer. A sale that is later refunded, charged back, or reversed ceases to count.
(c) "Program Fees" means the amounts you have actually paid to us for the Program. It does not include editor fees, advertising spend, software, tooling, travel, or any amount paid to a third party.
(d) "Adherence Requirements" means the requirements in Clause 8.3.
(e) "Program Week" means each consecutive seven (7) day period beginning at 00:00 UK time on your Start Date; a final part-week is not a Program Week.
(f) "Story sequence" means a set of at least three (3) Instagram stories, posted within twenty-four (24) hours, planned as one piece, in which each story after the first continues the same topic, story or call to action as the one before it (for example, a hook, the build-up and a close). You list each story sequence in your end-of-week report. If we consider that a set you listed is not a story sequence, we will tell you in writing, with our reasons, within seven (7) days after that report; if we do not, it counts.
8.3 Adherence Requirements. The Guarantee applies only if, throughout the Guarantee Period, you:
(a) publish at least fourteen (14) Instagram reels each Program Week;
(b) publish at least one (1) long-form YouTube video, at least ten (10) minutes long, each Program Week (YouTube Shorts do not count);
(c) publish at least three (3) Instagram carousels each Program Week;
(d) publish at least three (3) story sequences, as defined in Clause 8.2(f), each Program Week;
(e) submit the end-of-week report through the form we designate, each Program Week, and keep the acquisition log required by Clause 8.6(b) up to date;
(f) book and attend at least one (1) 1:1 session each Program Week; and
(g) attend each scheduled group call, up to two (2) each Program Week, having submitted at least three (3) questions in writing in advance through the channel we designate. If you tell us in writing before a group call that you cannot attend it live, you meet this requirement by submitting your questions in advance and watching the recording within the same Program Week.
Content counts only if it is published on the business account or accounts you name at onboarding.
A Program Week in which we did not make any 1:1 slot available for you to book, and a 1:1 session or group call that you booked and that we cancelled, rescheduled, or failed to hold, do not count against you. A requirement you could not meet because we had suspended or restricted your Access does not count against you either, unless the suspension or restriction was under Clause 6.4(c) or ended in termination under Clause 19.1. A session you fail to attend, cancel, or do not book when a slot was available does.
8.4 Tolerance. You may miss the requirements of up to two (2) Program Weeks in total across the Guarantee Period without voiding the Guarantee. A third missed Program Week voids the Guarantee permanently. A Program Week is missed if any of the Adherence Requirements is not met in that week.
8.5 Paid advertising and attribution.
(a) You may run paid advertising or paid placement for your own business during the Guarantee Period. Doing so does not void the Guarantee.
(b) Subject to (e), paid advertising and organic content are treated as separate channels of acquisition. Only clients acquired through your organic content count toward the fifteen (15) Qualifying Clients. Clients acquired through paid advertising do not count, however many of them there are.
(c) Attribution test. A client is treated as acquired through your organic content unless you show, on the balance of probabilities, that the client was acquired through paid advertising or paid placement rather than through your organic content. A client who saw a paid advertisement but engaged with your organic content before purchasing is treated as acquired through your organic content.
(d) The burden of demonstrating (c) rests on you, and applies to every client you seek to exclude from the count.
(e) Promoted organic content. The following are treated as organic content for this Section: (i) ads that use any content you have also published organically (posts, reels, carousels, stories or videos), whether or not technically a boost; (ii) boosting or promoting your own organic content; (iii) ads that send people to your profile or to your existing organic content (a profile funnel); and (iv) retargeting ads shown to people who have engaged with your organic content. Clients acquired through them are treated as acquired through your organic content, count toward the fifteen (15) Qualifying Clients, and may not be excluded under (c). To exclude a client under (c), you must also show the advertisement was none of these.
(f) Meaning of paid advertising. In this Section, "paid advertising" includes paid placement and means any advertisement, sponsored post or other placement that you, or anyone acting for you, pay to have shown to an audience. Clients acquired any other way, such as by referral or direct outreach, count as acquired through your organic content.
8.6 Evidence and burden of proof.
(a) Adherence is proved by our records. Our records of end-of-week submissions, 1:1 bookings and attendance, group call attendance, question submissions, and content reported through the Program platforms are the primary evidence of whether you met the Adherence Requirements and will be treated as accurate unless you show they are wrong. You may ask us for a copy of these records at any time during the Guarantee Period.
(b) Contemporaneous acquisition log. You must record each new paying client through the form or system we designate for this purpose, no later than the end of the Program Week in which that client first pays you, stating a reference for that client (you must not include their name or contact details at this stage, see our Privacy Policy), the amount paid, the date of first payment, and the channel through which you acquired them (and, for an advertisement, which kind). The reference must be consistent and must let you identify that client to us if you later make a claim. We may change the form or system we designate on written notice, and that change does not vary this Section. That record is the primary evidence of the acquisition channel for that client. You may not later reclassify a client you recorded as acquired through organic content. A client who is not recorded within the Program Week in which they first paid you is treated as acquired through your organic content.
(c) The client count is proved by you. You must supply, with your claim, a single schedule listing every client who paid you during the Guarantee Period, stating for each one the reference recorded under Clause 8.6(b), the amount paid, the date of first payment, and the channel through which they were acquired, together with payment-processor records, invoices, or bank records evidencing the amounts, and evidence of acquisition for every client you seek to exclude from the count under Clause 8.5. Where we reasonably need to verify a particular client, we may ask you to identify that client to us; see our Privacy Policy. We may decline any claim that is not evidenced to our reasonable satisfaction, under Clause 8.7(e).
(d) You must retain the evidence in (c) throughout the Guarantee Period and for thirty (30) days after it ends or, if later, until any claim is finally decided.
(e) Supplying false or misleading evidence voids the Guarantee and is a material breach of these Terms.
(f) We process the data in (a) and (b) for the purpose of administering this Section. See our Privacy Policy.
8.7 How to claim.
(a) You must submit a written claim to legal@catna.cc within fourteen (14) days after the end of the Guarantee Period. A claim submitted after that window is not valid.
(b) The claim must include the evidence required by Clauses 8.5(d) and 8.6(c), and confirm your Start Date.
(c) We will respond in writing within thirty (30) days of receiving a complete claim. If a claim is incomplete, we will tell you what is missing within fourteen (14) days of receiving it, and you may complete it within fourteen (14) days after we tell you; a claim completed in that time counts as submitted when we first received it.
(d) If we approve the claim, we will pay the refund within thirty (30) days of approval, by the same method you used to pay, unless that method is unavailable.
(e) If we decline the claim, in whole or in part, we will give you our reasons in writing. You may ask, within fourteen (14) days, for the decision to be reviewed by a director of the Company, who will respond in writing within thirty (30) days.
8.8 Effect of a refund. On payment of a refund under this Section:
(a) your Access ends immediately and your licence under the EULA terminates;
(b) you must cease all use of, and delete, the Materials;
(c) your obligations under Sections 13 (Confidentiality) and 14 (Recordings and Testimonials) survive; and
(d) the refund is in full and final settlement of all claims relating to the Program.
8.9 When the Guarantee does not apply. The Guarantee is void if:
(a) you fail to pay any amount when due and do not cure within the grace period in Clause 6.4(a);
(b) we terminate your Access under Clause 19.1 for a material breach of these Terms that we have notified to you in writing and that, if it can be remedied, you have not remedied within seven (7) days of that notice; a suspension or restriction that is later lifted does not void the Guarantee;
(c) you initiate a chargeback or payment dispute in bad faith, or on performance grounds without first using the claim process in Clause 8.7; a dispute about a genuine billing error, or one you raise only to protect your rights before a payment provider's deadline expires and tell us about in writing at the same time, does not void the Guarantee;
(d) you commit a serious breach of Section 12 (Intellectual Property) or Section 13 (Confidentiality) and, if the breach can be remedied, do not remedy it within seven (7) days after our written notice (a breach is not serious only because Clause 13.3, Clause 19.1 or the EULA calls it material);
(e) you do not complete onboarding, so that no Start Date is established; or
(f) any of the circumstances in Clause 8.4 or Clause 8.6(e) apply.
8.10 One claim; no partial refunds. The Guarantee may be claimed once. There is no partial or pro-rata refund. If you have acquired fewer than fifteen Qualifying Clients but have met every other condition, the refund under Clause 8.1 is of the full Program Fees; there is no reduced amount for partial performance.
8.11 Not assignable. The Guarantee is personal to you and may not be assigned or transferred.
8.12 No variation to your detriment. Notwithstanding Section 20 (Changes to Terms), the version of this Section 8 that applies to you is the version in force on the date of your Order. We may not vary it to your detriment during your Guarantee Period.
8.13 Availability. This Section 8 applies only to Clients who both place their Order and have their Start Date on or after 16 October 2026.
9. CLIENT RESPONSIBILITIES AND COMPLIANCE REQUIREMENTS
9.1 Participation requirements. The Program is compliance-based. You agree to make best efforts to:
(a) book and attend at least one (1) of the two (2) 1:1 sessions available to you each week during the Program term, unless schedules are adjusted by us,
(b) attend group calls as scheduled,
(c) follow posting and implementation guidance agreed within the Program,
(d) complete assignments and provide requested inputs in a timely manner,
(e) maintain respectful communication.
9.2 Non-compliance. Non-compliance does not create any refund right and may result in reduced outcomes. We may also restrict support if you repeatedly fail to provide required inputs.
9.3 You own your results. You are solely responsible for your decisions, actions, content, offers, and business outcomes.
9.4 Relationship to the Performance Guarantee. The requirements in this Section are participation expectations, and their breach does not by itself create any refund right. Where you rely on the Performance Guarantee in Section 8, the Adherence Requirements in Clause 8.3 apply as strict conditions and are measured separately from this Section.
10. COMMUNITY RULES AND PROHIBITED CONDUCT
10.1 Community environment. You agree to behave professionally and not disrupt the Program.
10.2 Prohibited conduct includes, without limitation:
(a) harassment, hate speech, threats, bullying, or discriminatory conduct,
(b) doxxing, sharing private conversations, or leaking community content,
(c) spamming, solicitation, or unsolicited pitching to members,
(d) impersonation or misrepresentation,
(e) encouraging chargebacks, disputes, or coordinated complaints,
(f) attempting to access areas you are not permitted to access,
(g) security exploitation or attempts to bypass access controls,
(h) sharing or reselling Materials, recordings, or any Program content, except as Clause 12.3 or 13.2 allows,
(i) reverse engineering or cloning the Program, or using the Materials to train others in breach of Clause 12.3.
10.3 Enforcement. We may restrict your Access for violations of this Section, without refund. A temporary restriction does not affect Section 8. Permanent removal is termination under Section 19.
11. LIMITED ACCESS FOR TEAM MEMBERS (CREATIVE DIRECTOR / EDITOR)
11.1 Discretionary access. We may, at our sole discretion, allow a Client's Creative Director or Editor limited access to a Client's private 1:1 channel only. Before we give access, the team member must accept our confidentiality terms in the form we provide. If they do not, or if they breach them, we may refuse or remove their access.
11.2 No entitlement. This is not guaranteed, may be revoked at any time, and does not provide access to Materials, calls, or other areas unless we expressly grant it in writing.
11.3 Client responsibility. You are responsible for your team member's conduct and any breach caused by them. Content published by your team member on your behalf counts as content published by you for the purposes of Clause 8.3.
12. INTELLECTUAL PROPERTY AND LICENSE
12.1 Ownership. All Materials and Program infrastructure are owned by us or our licensors and are protected by intellectual property laws.
12.2 License. Your use is governed by the EULA/License terms. You receive a limited, revocable, non-transferable license for internal use only.
12.3 Using what you learn. You may use the business strategies, methods and skills you learn in the Program to run your own business and to deliver your own products and services directly to your own customers. This Clause protects the Materials themselves, including our templates, curriculum, recordings, scripts, GPT workflows, SOPs and software systems. Without our written permission, you may not:
(a) share, redistribute, resell, sublicense or otherwise pass on any of the Materials, or copies of them, to anyone outside your own business;
(b) use the Materials to create or deliver a course, coaching program, community, template pack or similar product for others; or
(c) use the Materials to train or teach people outside your own business, including by training software or an AI model that others can use.
Before you give any of the Materials to a team member of yours, such as a Creative Director or Editor, who does not have access to your private 1:1 channel under Section 11, that person must accept our confidentiality terms in the form we provide. Clause 11.3 applies to them as it does to a team member with channel access.
13. CONFIDENTIALITY AND NON-DISCLOSURE
13.1 Confidential information. The Program includes confidential information, including private conversations, member details, strategies, tools, and systems.
13.2 You agree not to disclose, leak, publish, or share confidential information, including private channels, call recordings, or member discussions. This does not stop you sharing information with a team member as Clause 12.3 allows, or disclosing information that is public other than through your breach, that you lawfully had before the Program, or that law, a court or a regulator requires you to disclose.
13.3 Remedies. Breach of confidentiality causes irreparable harm. We may seek injunctive relief and all other remedies available. A breach of this Section is also a material breach of these Terms, for which Clause 19.1 allows us to terminate your Access, with the consequences set out in Clause 19.2.
14. RECORDINGS AND TESTIMONIALS
14.1 Recordings. We record 1:1 calls, group calls, and onboarding calls for training, quality control, compliance, dispute prevention, and internal documentation. We will tell you at the start of a call that it is being recorded. Our Privacy Policy explains how we use recordings.
14.2 Use for delivery. Recordings may be made available to participants as part of the Program.
14.3 Marketing and testimonials.
(a) We may request permission to use testimonials, screenshots, and results for marketing.
(b) Opt-out: you may opt out of marketing use by emailing legal@catna.cc. Opt-out does not affect operational use in Clause 14.1.
(c) If you opt out, we will not knowingly publish your identifiable marketing content going forward, but we may continue to use de-identified or aggregated insights.
15. DISCLAIMERS
15.1 What we promise. We will provide the Program with reasonable care and skill and as described in Section 5, including the core components in Clause 5.4. Apart from that and the Performance Guarantee in Section 8 (where it applies to you), we do not promise any particular revenue, views, clients, virality or other business result, and, so far as the law allows, no other terms about the Program are implied.
15.2 Examples only. Any figures, results, or wins referenced in marketing, stories, posts, calls, or Materials are illustrative examples only and are not promises. This Clause does not apply to the Performance Guarantee, which is a contractual commitment and not an illustrative example.
15.3 No professional advice. The Program is not legal, tax, financial, or medical advice.
16. LIMITATION OF LIABILITY
16.1 Non-excludable liability. Nothing in these Terms excludes liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence, or any liability that cannot be excluded under applicable law.
16.2 Liability cap. Subject to Clause 16.1 and Clause 16.4, to the maximum extent permitted by law, our total liability to you arising out of or related to the Program will not exceed the total Program Fees you have paid to us.
16.3 Excluded losses. To the maximum extent permitted by law, we are not liable for loss of profits, revenue, goodwill or business opportunity, business interruption, or indirect or consequential loss.
16.4 Guarantee carve-out. The cap in Clause 16.2 does not limit our obligation to pay a refund properly due under Section 8.
16.5 Consumers. If you enrol as a consumer, nothing in these Terms limits your statutory rights, including your right to have the Program provided with reasonable care and skill. Despite anything else in these Terms, if you enrol as a consumer:
(a) Clause 6.2 does not limit any right you have by law to withhold or reduce payment;
(b) if we terminate under Clause 19.1, Clause 6.5 does not apply: you pay only for the Program provided and our reasonable losses from your breach, up to your plan's total, and we refund any excess; and
(c) if a change under Clause 5.4 significantly reduces what you receive, or we transfer under Clause 22.3, you may end the agreement within thirty (30) days after we tell you, with a refund for the part not yet provided.
16.6 Our people. The limits and exclusions in this Section 16 also protect our directors, officers, employees and contractors. The cap in Clause 16.2 applies to the total liability of us and all of them together, not to each of them separately. Each of them may enforce this Section under the Contracts (Rights of Third Parties) Act 1999.
17. INDEMNITY
You agree to indemnify us, and our directors, officers, employees and contractors, against losses and reasonable expenses that we or they incur, to the extent they are caused by:
(a) your breach of these Terms or Policies,
(b) claims by third parties arising from your content, offers, advertising, or client relationships, except to the extent caused by our breach or negligence, or by Materials used as we intended,
(c) your misuse of the Program.
Each of our directors, officers, employees and contractors may enforce this Section under the Contracts (Rights of Third Parties) Act 1999.
18. FORCE MAJEURE
We are not liable for delays or failures caused by events beyond our reasonable control, including but not limited to platform outages, war, terrorism, civil unrest, strikes, power failures, internet failure, government actions, or third-party service interruptions. No refunds are owed due to force majeure. Where a force majeure event prevents us from delivering scheduled sessions, Clause 8.3 applies to those sessions.
19. TERMINATION
19.1 By us. We may terminate your Access for a material breach of these Terms, including IP misuse, a confidentiality violation or a serious breach of Section 10, or for non-payment not cured within the grace period in Clause 6.4(a). Where a breach can be remedied, we will give you written notice and seven (7) days to remedy it first. We may suspend your Access while we investigate a suspected material breach.
19.2 Effect. Upon termination, and subject to Clause 16.5:
(a) Access ends immediately,
(b) no refunds are provided, including under Section 8 where Clause 8.9 applies,
(c) you remain liable for any unpaid amounts, including any amount that becomes due under Clause 6.5.
20. CHANGES TO TERMS
We may update these Terms for legal, regulatory, security or operational reasons. We will give you at least thirty (30) days' notice by email of any change that materially affects you. No change alters your price, payment schedule or remedies during your Program term. If you object in writing to a material change before it takes effect, the earlier version continues to apply to you for the rest of your Program term. This Section does not permit us to vary Section 8 (Performance Guarantee) to your detriment during your Guarantee Period. See Clause 8.12.
21. GOVERNING LAW AND COURTS
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
22. MISCELLANEOUS
22.1 Severability. If any provision is invalid, the rest remains effective.
22.2 No waiver. Failure to enforce any provision is not a waiver.
22.3 Transfer. We may transfer this agreement, including all our rights and obligations under it, to a company in our group (a company that controls us, that we control, or that is under the same control as us) or to anyone who buys our business or the part of it that runs the Program, if the company or person we transfer to first agrees in writing, for your benefit, to perform our obligations to you under these Terms as they stand, including Section 8 (Performance Guarantee). We will tell you in writing when the transfer takes effect; from then, the company or person we transfer to is bound to you in our place and we are released. By accepting these Terms, you agree to any such transfer. You may not transfer this agreement, or any of your rights or obligations under it, without our written consent.
22.4 Notices. Legal notices must be sent to legal@catna.cc.
22.5 Third-party rights. Only the people described in Clause 16.6 and Section 17 may enforce any term of these Terms under the Contracts (Rights of Third Parties) Act 1999, and these Terms may be varied, ended or transferred without their consent.
BY PURCHASING OR ACCESSING THE PROGRAM, YOU ACKNOWLEDGE YOU HAVE READ, UNDERSTOOD, AND AGREED TO THESE TERMS.
