CATNA 2.0 End User License Agreement
Effective Date of this version: 16 October 2026
Original Effective Date: 01 December 2025
Last Updated: 16 October 2026
IMPORTANT NOTICE
This EULA governs your license to access and use CATNA 2.0 Materials and systems. It forms part of the Terms of Service; capitalised words not defined in this EULA have the Terms' meanings, and the Terms prevail if the two conflict (Clause 3.3 of the Terms).
1. PARTIES
This EULA is between Agbisit Acquisitions Ltd (Company No. 16795399) ("we", "us", "our") and the Client ("you", "your").
2. DEFINITIONS
"Internal Use" means use within your own business for your own operations, including applying the methods, frameworks and skills you learn to deliver your own products and services to your own customers, but excluding giving, selling or distributing the Materials themselves, or using them to train people outside your own business.
Capitalised terms used but not defined in this EULA have the meaning given to them in the Terms of Service.
3. LICENSE GRANT (LIMITED)
Subject to payment and compliance, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Materials for Internal Use only.
This is a license, not a sale. We retain all rights not expressly granted.
4. USING WHAT YOU LEARN
Clause 12.3 of the Terms applies. You may use the business strategies, methods and skills you learn in the Program to run your own business and to deliver your own products and services directly to your own customers. This Clause protects the Materials themselves, including our templates, curriculum, recordings, scripts, GPT workflows, SOPs and software systems. Without our written permission, you may not:
(a) share, redistribute, resell, sublicense or otherwise pass on any of the Materials, or copies of them, to anyone outside your own business;
(b) use the Materials to create or deliver a course, coaching program, community, template pack or similar product for others; or
(c) use the Materials to train or teach people outside your own business, including by training software or an AI model that others can use.
Before you give any of the Materials to a team member of yours, such as a Creative Director or Editor, who does not have access to your private 1:1 channel under Section 11 of the Terms, that person must accept our confidentiality terms in the form we provide. Clause 11.3 of the Terms applies to them as it does to a team member with channel access.
5. PROHIBITED USES (ANTI-CLONE AND ANTI-LEAK)
Except as Clause 12.3 or 13.2 of the Terms allows, you may not, directly or indirectly:
(a) copy, share, upload, distribute, sell, sublicense, or provide access to any Materials to anyone not authorised,
(b) share recordings or private community discussions,
(c) export, clone, replicate, or reverse engineer any systems, automations, structures, dashboards, GPT workflows, prompts, templates, or operating processes,
(d) use the Materials to create "templates", "kits", "vaults", "notion packs", "discord packs", "gpt packs", or similar products,
(e) scrape, download in bulk, or systematically capture Materials,
(f) defeat access controls or attempt unauthorised access.
6. LIMITED ACCESS FOR CREATIVE DIRECTOR / EDITOR (DISCRETIONARY)
6.1 We may, at our sole discretion, permit one or more of your team members (such as a Creative Director or Editor) limited access to your private 1:1 channel only. Before we give access, the team member must accept our confidentiality terms in the form we provide, as Clause 11.1 of the Terms requires.
6.2 This does not grant access to the wider Program Materials, call libraries, or community areas unless we expressly authorise it in writing.
6.3 You are responsible for all actions of any permitted team member. Any breach by them is treated as your breach.
7. CONFIDENTIALITY
7.1 The Materials and community discussions are confidential.
7.2 Except as Clause 12.3 or 13.2 of the Terms allows, you must not disclose private conversations, member identities, internal strategies, or Materials.
7.3 Unauthorised disclosure causes irreparable harm. We may seek injunctive relief and any remedies available at law. Clause 13.3 of the Terms applies to a breach of this Clause.
8. OWNERSHIP
All intellectual property rights in the Materials remain our exclusive property or that of our licensors. No rights are transferred.
9. ENFORCEMENT AND REMEDIES
9.1 We may investigate suspected misuse, leakage, or cloning.
9.2 If we reasonably believe you breached this EULA, we may:
(a) suspend your Access while we investigate, and terminate your license and Access under Clause 19.1 of the Terms,
(b) require you to delete all copies and cease all use,
(c) pursue injunctive relief, damages, an account of profits, and recovery of reasonable enforcement costs to the extent permitted by law.
10. TERM AND TERMINATION
10.1 This license begins when Access is granted.
10.2 We may revoke the license when we terminate your Access under Section 19 of the Terms. A breach of Clause 4, 5 or 7 of this EULA is a material breach for the purposes of Clause 19.1 of the Terms. Whether the Performance Guarantee survives is decided by Clause 8.9 of the Terms.
10.3 Upon termination, you must stop using all Materials immediately.
10.4 Termination on a Guarantee refund. If we pay you a refund under Section 8 of the Terms of Service, this license terminates on payment. You must then cease all use of the Materials and delete every copy in your possession or control, per Clause 8.8 of the Terms. Clause 7 (Confidentiality) survives.
11. DISCLAIMERS
Section 15 of the Terms applies to the Materials. We do not promise they are error-free or that access will never be interrupted, but this does not reduce Clause 5.4 of the Terms.
12. LIMITATION OF LIABILITY
Nothing excludes liability that cannot be excluded under law. Subject to that, liability is limited as set out in the Terms of Service. For the avoidance of doubt, that limit does not restrict our obligation to pay a refund properly due under Section 8 of the Terms, per Clause 16.4 of the Terms.
13. GOVERNING LAW AND COURTS
This EULA is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
BY ACCESSING THE PROGRAM, YOU ACKNOWLEDGE YOU HAVE READ AND AGREED TO THIS EULA.
